Our Commitment to Clear and Fair Collaboration.

These Terms and Conditions outline the rules, responsibilities, and expectations that guide our work with clients. By using our services, you agree to the principles detailed below.

Governing Agreement

These Terms of Service ("Terms") establish the legal framework governing the relationship between DigiSite ("Agency"), and the individual or entity ("Client") purchasing digital services. By executing a service agreement or making payment, Client acknowledges having read, understood, and agreed to be bound by these Terms, which supersede any prior verbal or written understandings.

Service Parameters

The Agency provides professional web development services including but not limited to custom website design, eCommerce implementation, content management system integration, search engine optimization, and ongoing technical maintenance. Specific deliverables and timelines will be detailed in individual project proposals that become binding when signed by both parties. Should any conflict arise between these general Terms and a signed proposal, the project-specific agreement shall prevail.

Clients are required to provide all necessary content assets including copy, images, brand guidelines, and third-party login credentials within 10 business days of project commencement. Delays in asset delivery exceeding 15 business days will result in project rescheduling and may incur reactivation fees equal to 10% of the total project cost. The Agency reserves the right to pause development after 30 days of client inactivity.

Financial Obligations

All projects require a non-refundable deposit of 50% of the total estimated fees before work commences. The remaining balance is due in two installments: 20% upon design approval and 30% after final delivery. Invoices not paid within 15 days of issuance will accrue late penalties at a rate of 1.5% per month.

Payment disputes must be submitted in writing within 7 days of invoice receipt. The Agency reserves the right to withhold deliverables and disable hosted websites for accounts with balances overdue by more than 30 days. All granted licenses become invalid during payment delinquency periods. For refund eligibility, please consult our Refund Policy.

Intellectual Property Rights

Upon full payment, Clients receive perpetual, exclusive rights to final delivered website designs, custom graphics, and unique code developed specifically for their project. The Agency retains ownership of proprietary frameworks, internal tools, code libraries, and any development methodologies used during project execution. Client grants DigiSite a non-exclusive license to display project elements in our portfolio and marketing materials, with sensitive information redacted upon written request.

Third-party assets including stock photography, fonts, and plugins remain governed by their original license agreements. The Agency shall not be liable for license compliance of client-provided materials. All open-source components are used in accordance with their respective GNU/GPL or MIT licenses.

Hosting & Technical Support

Websites hosted on DigiSite-managed servers receive guaranteed 99.9% uptime, daily backups, and malware scanning. Our standard hosting package includes 5GB storage, 50GB bandwidth, and SSL certificate provisioning. Clients requiring additional resources may upgrade to premium plans at prevailing rates. Self-hosted installations receive 30 days of post-launch technical support.

Emergency support requests (defined as critical website downtime or security breaches) receive priority response within 2 business hours. Non-critical requests including design tweaks and content updates are addressed within 6-7 hours. Hosting accounts are renewed annually, with 30-day advance notice of expiration.
